This Terms of Service Agreement ("Agreement") is entered into by and between Metarep Labs Inc. ("Metarep Labs," "we," "us," or "our") and users ("you" or "your") of the Lesson Reach software product. By accessing or using Lesson Reach, you agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use Lesson Reach.
MetaRep Labs provides its services to you through its website located at https://lessonreach.com or one of its subdomains (the "Site") and through its mobile applications and related services (collectively, such services, including any new features and applications, and the Site, the "Services"), subject to the following Terms of Service (as amended from time to time, the "Terms of Service").
License
Subject to your compliance with this Agreement, Metarep Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use Lesson Reach for your personal or internal business purposes.
Intellectual Property
Lesson Reach and all related intellectual property rights are and will remain the exclusive property of Metarep Labs. You may not use Lesson Reach for any purpose not expressly permitted by this Agreement.
Privacy
Your use of Lesson Reach is subject to our Privacy Notice, which is incorporated by reference into this Agreement. By using Lesson Reach, you consent to the collection and use of your information as described in the Privacy Notice.
Disclaimer of Warranties
Lesson Reach is provided "as is" and "as available" without warranties of any kind, express or implied. Metarep Labs makes no warranties or representations about the accuracy or completeness of Lesson Reach or the content provided therein.
Limitation of Liability
In no event shall Metarep Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or use, arising out of or in connection with your use of Lesson Reach.
Indemnification
You agree to indemnify, defend, and hold harmless Metarep Labs and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of Lesson Reach.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law principles.
Changes to this Agreement
Metarep Labs reserves the right to modify or update this Agreement at any time. We will notify you of any changes by posting the new Agreement on our website. Your continued use of Lesson Reach after any such modifications shall constitute your consent to such changes.
Conditions of Use
User Conduct: You are solely responsible for all information, data, text, images, video or other materials ("Content") that you post, publish, display, transmit or send (collectively, "Transmit") or otherwise use via the Service. Transmission of content that can be considered harmful is strictly prohibited. This includes, but is not limited to, encouragement or acts of hate speech, violence, harassment, and terrorism.
Users are soley responsible for managing their viewing experience. This includes, but is not limited to the viewing of content provided by other users. If a user encounters content they find disturbing, they must immediately stop using the Service.
Reverse Engineering
Reverse engineering, defined as attempts to analyze, modify, disrupt, or circumvent how Lesson Reach works is strictly prohibited.
